Terms of Service — Antrotic Nexus

1. Antrotic Nexus and these Terms

“Antrotic Nexus” or “Nexus” means the internal operations platform developed and operated by Antrotic, LLC (“Antrotic”, “we”, “us”), including its features for people management, appointment requests, scheduling, communications, permissions and online meetings, and its optional integrations with Google Calendar and Google Meet. “You” means an individual Antrotic has authorized to use Nexus.

By accessing or using Nexus, you agree to these Terms. If you use Nexus under an employment, contractor or other written agreement with Antrotic, these Terms supplement that agreement, and that agreement controls if the two conflict.

2. Internal, authorized use

Nexus is an internal business platform. It is not offered to the public, is not sold as a subscription service, and does not allow self-registration. Antrotic decides who may use Nexus and what each user may access. Nexus may be used only for Antrotic’s legitimate business operations.

3. Eligibility and authority

You may use Nexus only if Antrotic has authorized you to do so and you are old enough to form a binding agreement under applicable law. If you act on behalf of an organization, you confirm that you have authority to do so. Your access may also be subject to Antrotic’s internal policies.

4. Acceptable use

When using Nexus, you must not:

• access, or try to access, information or functions beyond the permissions Antrotic has given you;
• share your credentials or let another person use your access;
• probe, scan, test or bypass Nexus security, or interfere with its operation;
• copy, modify, reverse engineer or redistribute Nexus software, except as permitted by law;
• upload malicious code or content you have no right to use;
• use Nexus for unlawful, harassing, discriminatory or deceptive purposes;
• enter or process personal information you are not authorized to handle;
• create calendar events, meetings or communications for purposes unrelated to Antrotic’s operations.

5. Connecting a Google Account

Connecting a Google Account to Nexus is optional and is only needed for Google Calendar and Google Meet features. Connect only a Google Account that you are authorized to use for this purpose. While connected, you remain bound by Google’s own terms and policies.

6. Explicit OAuth authorization

Nexus connects to Google only through Google’s OAuth authorization process. Google shows you the permissions Nexus is requesting, and Nexus gains access only after you explicitly approve them. If Nexus later needs different permissions, you will be asked to approve them again. The permissions Nexus requests and how the resulting data is handled are described in the Privacy Policy.

7. Google Calendar functionality

With your authorization, Nexus may check free/busy availability, detect scheduling conflicts, and create, update or cancel appointment-related events on calendars owned by your connected account. Events Nexus creates appear on your Google Calendar. When an appointment changes in Nexus, the related event may be updated or cancelled to match. You are responsible for reviewing appointment details before relying on them.

8. Google Meet functionality

With your authorization, Nexus may create Google Meet meeting spaces for appointments, retrieve supported information about them, manage supported settings, and provide meeting links to authorized participants. Nexus manages only meeting spaces it created. Meetings take place in Google Meet under Google’s terms. Nexus does not record or transcribe meetings, does not access meeting audio or video, and does not admit participants on your behalf.

9. Third-party Google services

Google Calendar, Google Meet and Google OAuth are provided by Google LLC, not by Antrotic. Your use of them is governed by the Google Terms of Service and the Google Privacy Policy. Antrotic does not control Google services and is not responsible for their content, operation or policies.

10. Your account responsibilities

Keep your sign-in credentials confidential and your account information accurate. You are responsible for activity performed through your access. If you believe your account or a connected Google Account has been used without permission, tell us promptly at contact@antrotic.com.

11. Meeting link responsibilities

Meeting links can give entry to a meeting. Share them only with the intended participants, do not post them publicly, and use the meeting controls Google Meet provides. If you host a meeting, you are responsible for how it is conducted. If a link is exposed to someone who should not have it, let us know so the meeting can be replaced.

12. Privacy and legal compliance

Our Privacy Policy explains how Nexus handles information, including Google user data. When using Nexus, you must comply with applicable laws, including privacy, data protection and communications laws, and with the privacy expectations of the people whose information you handle.

13. Disconnecting Google

You can disconnect your Google Account from within Nexus at any time. You can also remove Nexus’s access from your Google Account at any time through Google Account permissions.

14. Effect of disconnection

When you disconnect Google in Nexus:

• Nexus requests OAuth revocation from Google and removes active stored Google OAuth credential material;
• future authorized Google Calendar and Google Meet operations stop for that account until you authorize a new connection;
• Google Calendar events, Google Meet spaces and other Google resources already created in your Google account are not necessarily deleted, and may remain until they are deleted separately or cleaned up through an applicable workflow;
• appointment records in Nexus remain as Antrotic business records, and non-secret audit records may be kept as described in the Privacy Policy.

15. Availability of third-party services

Google-dependent features rely on Google services and APIs, which may change, be interrupted, be limited or be discontinued. When that happens, some Nexus features may be unavailable or behave differently. Antrotic is not responsible for interruptions caused by third-party services.

16. Changes to Nexus and these Terms

Antrotic may add, change, suspend or remove Nexus features at any time. We may also update these Terms. When we do, we will revise the “Last Updated” date and, for material changes, give notice through Nexus or another appropriate channel. Continued use of Nexus after an update means you accept the updated Terms.

17. Intellectual property

Nexus, including its software, design and content, and the names and logos “Antrotic” and “Antrotic Nexus”, belong to Antrotic, LLC. Antrotic grants you a limited, revocable, non-exclusive and non-transferable permission to use Nexus for authorized purposes while your access remains active. Google, Google Calendar and Google Meet are trademarks of Google LLC. Their mention here does not imply endorsement.

18. Disclaimer

To the extent permitted by law, Nexus is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Antrotic does not warrant that Nexus or connected third-party services will be uninterrupted, error-free or always accurate.

19. Limitation of liability

To the fullest extent permitted by applicable law, Antrotic will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising from or related to Nexus or these Terms. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

20. Termination and removal of access

Antrotic may suspend or remove your access to Nexus at any time, including when your role or engagement with Antrotic ends, if you breach these Terms, or to protect the security of Nexus or others. You may stop using Nexus at any time. Sections that by their nature should continue after access ends, including those on intellectual property, disclaimer, limitation of liability and governing law, will continue to apply.

21. Governing law

These Terms are governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-law rules, except where applicable law or a written agreement between you and Antrotic requires otherwise. Disputes relating to these Terms will be brought in the state or federal courts located in South Carolina, unless applicable law provides otherwise.
